Electronic contract

Whereas, the first party (a natural person – a legal person) desires to market and have an electronic
operation to be executed by the second party (Tatpiqy), and whereas, the second party is inter alia in the
business of electronic operation and has sufficient experience and knowledge in dealing with such
programmes. Furthermore, the second party is licensed to practice the electronic operation of goods and
products and the necessary requirements for marketing and operation via the internet.
Now therefore, the Parties hereto, in consideration of mutual covenants and agreements herein
contained, do hereby, agree as follows.

Based on the foregoing, the parties hereby agree, taking into consideration the mutual covenants
and agreements contained in this contract, as follows:
1- The preamble to this contract is considered an integral part of it and shall be read with it as a single unit.
2- The official means of communication agreed upon between the two parties is ……………….
3- The first party is obligated to provide all data and information requested by the second party through the official means of communication mentioned in this contract. It is also obligated to provide all its data to the second party to provide its services in a manner that achieves the agreed purpose.
4- In case that none of the necessary required data for operation is provided by the first party according to the agreement concluded, the second party shall not bear any responsibility for any decrease /delay /result of the final work.
5- The second party is thoroughly shall maintain confidentiality of the first party’s information and is
prohibited from publishing them except with the consent of the first party and under penalty of liability
6- The second party is obligated upon the end of this contract to re-deliver the first party’s data without
any delay
7- The second party operates the website (Tatbiqy/ online store) without bearing any responsibility towards
the other party or third parties
8- The second party is obligated to provide the basic services that are at the heart of the agreement and
which include the method of electronic operation
9- The second party shall commit to provide connectivity with the logistics services and the electronic
payment gateway
10- The tenure of this contract between the two parties is from …./ …/ 20… until …/ …/ 20….., subject to
renewal upon the two parties’ agreement.
11- The two parties agreed that the second party’s financial dues shall be from the first party according to
the packages approved by the (operator)
12- The two parties agreed that the first party would transfer the amount due to the second party through
an account number in ………. Bank
13- In case the first party desires to terminate the contract for any of the reasons, it must provide an
advanced notice before two months and is obligated to pay all dues and operating expenses for the
duration of the contract because the operator is bound by binding contracts with intermediaries and
software producers
14- In case of a dispute between the two parties, the Court of Seeb shall be competent to settle any dispute
of this type of agreement and the consequent provisions binding on both parties.

General information about the operation:

1- “Tatpiqy” will deal with the payment gateway “Thawani” by default. Prices will vary for any other
transaction with any other payment gateway.
2- The official means of communication agreed upon between the two parties is ……………….
3- “Tatpiqy” will deal with a delivery partner ” Asayad OR Dalilee” by default. Prices will vary for any other transaction
with any other company that provides a Logistics Delivery (LMD) service
4-“Tatpiqy” is not responsible for any delays from third parties such as the hosting / Thawani / Asayad/ Dalilee.
5- Operational Service Level Agreements (OSLAs) will be mutually agreed upon during the implementation
phase.
6- All contracts with the third parties will be between the client and the partner. “Tatpiqy” will help in
facilitating the communication, if needed.
7- “Tatpiqy” will provide (.com) domain based on the confirmed availability by the hosting provider.
8- The terms and conditions of the hosting providers will apply directly to the solution offerings provided
by Tatpiqy
9- The customer should be close to his requirements in time to avoid any delays during project
implementation
10- The knowledge will be transferred with the client during the handover phase.

 

Projects

1- “Tatpiqy” will implement the solution, but the first party must purchase all the required services;
(Payment Gateway / Hosting / Domain / LMD Services) during and after the implementation phase.
2- The clients will be given the rights access to the admin panel to manage their products. “Tatpiqi” will
not be responsible for any information related to the product.
3- “Tatpiqy” will support the development, implementation and operational support from the third level of
the developed solutions.
4-The warranty period will be changed based on the start-up phase of the agreement/project.

 

Plans

1- The first party is obligated to indenture with Tatbiqi for one year by paying the service’s full amount, and if the first party desires to pay as installments – on a monthly basis; the first party is obligated to pay within the first five days of the beginning of each month.
2- In case that the first party does not desire to renew the contract with Tatpiqi, the first party must notify the second party two months in advance before the end of the annual agreement – with full payment of the dues of Tatbiqy package.
3- Legal measures will be taken against non-payment during the contract term – with a delay fine of 25 of the package value per month.
4- “Tatpiqy” will not be responsible for the loss of any domain/data/application due to non-payment.
5- First party will be given access to the admin panel to manage their products. “Tatpiqi” will not be responsible for any information related to the product.
6- “Tatpiqy” will support a third level of the developed solutions’ development, implementation and operational support.
7- The client may choose the content based on the purchased plan.
